Removing a New York LLC's registered agent: the options compared
Seven ways to part with a registered agent company, each compared on what it changes on your LLC's New York record, who does the work and what it costs.
Five of the seven file a Certificate of Change: filing it yourself, Remove Registered Agent, another filing service, an attorney, and a switch to a new agent. One waits on the agent company's own resignation, and cancelling the contract alone files nothing.

The average star rating across all 337 Google reviews of our operator, from customers of its New York LLC publication filings, as of October 25, 2026.
100 New York Certificates of Change filed, all accepted
Every one our operator has filed with the Department of State since January 2026, as of October 30, 2026. It is the same filing a New York LLC uses to revoke its registered agent.
1,460 New York LLC publication orders handled by our operator
Our operator, Sandeep Arneja LLC, also runs New York LLC publication filings. Unpaid, fully refunded and cancelled orders are not counted. As of October 30, 2026.
Files electronically with the Department of State as a service company
Each signed certificate goes through the E-Submission upload of eCorp, the Department of State's online filing system, under our operator's service company account, and gets a work order number when it is submitted. Filers without a service company account email or mail the Certificate of Change.

The seven options side by side
What each option changes on your LLC's New York record, who does the work, and what it costs. Prices that companies publish are shown as dated ranges.
| Option | What it changes on the State's record | Who does the work | What it costs |
|---|---|---|---|
| File it yourself | Revokes the agent. On that certificate, the service of process address changes only if its address statement is also completed. | You: the form and its cover sheet, choosing the statements, the signature, the State's fee, and sending it by email or mail. | The $30 State filing fee, and your own time for every step. |
| Remove Registered Agent files it | Takes the agent company off the record and, where needed, replaces the service of process address with one you choose, on one certificate. | You confirm the details, sign and pay. We prepare the certificate from your LLC's live State record, file it electronically through eCorp, make any correction the State asks for, and send you the State's filing receipt. | $100 all in, including the $30 State filing fee. One payment, nothing recurring. The Certificate of Change accepted by the State, or your full $100 back. How the guarantee works |
| Another filing service files it | A Certificate of Change, with the statements that service puts on it. | The service, under its own terms. | Set by each service. Five services that publish a price for filing a change to an LLC's New York record charge from $125 to $329 with the State's $30 fee included, a median of $159 (read October 29, 2026). |
| An attorney files it | A Certificate of Change, as the attorney prepares it. | The attorney, who can also advise on your LLC's own situation. | Set by each attorney. |
| Switch to another registered agent | The new agent replaces the old one. The switch leaves the service of process address as it was; the same certificate can also change it. | The LLC, or whoever files for it; then the new agent company, under its own contract. | The $30 State filing fee, then the new agent company's yearly price. The yearly prices that six registered agent companies publish run from $125 to $249 (read October 29, 2026; one from an archived copy). |
| Wait for the agent company to resign | If the agent company files a resignation, its designation ends thirty days after that filing. The service of process address stays where it was unless another filing changes it. | The agent company, if it chooses to. | No State fee for the LLC: the resigning agent files the certificate and pays its fee. What an agent company charges for resigning is set by its own terms. |
| Cancel the contract only | Nothing. The State keeps listing the agent, and the LLC's service of process address, until a filing changes them. | You, with the agent company, under its terms. | No State fee. Whether the agent company's billing ends depends on its own terms. |
With the State's filing receipt in hand, the LLC can then cancel or not renew its contract with the agent company, as that contract allows.
File it yourself
Filing the Certificate of Change yourself
Yes: a New York LLC can file its own Certificate of Change, on DOS form DOS-1359-f, and pay the State's $30 filing fee (LLC Law §1101(v)) itself.
Revoking a New York LLC's registered agent does not move its service of process address: the Secretary of State keeps mailing a copy of any process against the LLC to the address on file until a filing changes it. One Certificate of Change, form DOS-1359-f, can revoke the registered agent and replace the service of process address on the same filing.
The form's revoke statement reads "The limited liability company hereby revokes the designation of its registered agent." (DOS-1359-f), with no blank, so the certificate does not name the agent being revoked. Form DOS-1359-f has no notary, oath or perjury line. The New York Department of State's updates page says "Please submit all filings and requests via email or mail." (read October 26, 2026).
For an owner filing it by hand, it comes to at least 10 hours of work, with everything right the first time; our operator timed it. Most of those hours go to steps a quick estimate leaves out: reading the LLC Law to choose the statements, checking with the agent company, calling the Department of State and waiting for its answer, and checking everything again before mailing. Remove Registered Agent files electronically through its operator's service company account with the Department of State: the certificate goes into the Department's system when it is submitted, dated that day, with nothing to print, mail or scan. Of the 12 Certificates of Change our operator emailed to the Department of State from June 15 to July 1, 2026, 11 were dated the day they were sent or the next business day; a mailed one is dated no earlier than the day the mail reaches the Department.
In our operator's experience, one small mistake on the form brings a correction letter and a resubmission.
With Remove Registered Agent, the LLC confirms the details by email and a member, manager or authorized person signs; Remove Registered Agent does the rest, for $100 all in: it prepares the certificate from the LLC's live State record, files it electronically through eCorp under its operator's service company account, makes any correction the State asks for at no charge, and sends the State's filing receipt.

We file it
Having Remove Registered Agent file it
Remove Registered Agent files a New York LLC's Certificate of Change for $100 all in, including the $30 State filing fee.
Remove Registered Agent files the Certificate of Change that takes the agent company off a New York LLC's State record and, where needed, replaces the LLC's service of process address with one the LLC chooses.
You
- Enter your LLC's name or DOS ID
- Confirm what the certificate will change, and give the new service of process address where one is needed
- Sign the certificate, as a member, manager or authorized person of your LLC
- Pay, once the certificate is signed
We
- Read your LLC's live record at the New York Department of State
- Prepare the Certificate of Change for you to sign
- File it electronically through eCorp, after your payment
- Make any correction the State asks for, at no charge
- Check your LLC's live record afterwards, and send you the State's filing receipt and what changed
Remove Registered Agent files each signed certificate electronically through the E-Submission upload of eCorp, the Department of State's online filing system, under its operator's service company account; filers without a service company account email or mail the Certificate of Change. An uploaded certificate goes into the Department of State's system when it is submitted, dated that day, with a work order number, and there is nothing to print, mail or scan. Of the 12 Certificates of Change our operator emailed to the Department of State from June 15 to July 1, 2026, 11 were dated the day they were sent or the next business day; a mailed one is dated no earlier than the day the mail reaches the Department. Of the 100 Certificates of Change our operator filed from January 12 to October 29, 2026, the 29 uploaded through eCorp's E-Submission, the route every certificate an LLC signs takes, had a median of under 1 day from filing to the State's response, and the 23 sent by mail a median of 7.2 days from mailing. These are past records, not a promise.
As of , our operator has filed 100 New York Certificates of Change since January 2026, all accepted by the State: the same filing a New York LLC uses to revoke its registered agent.
On each certificate it files, Remove Registered Agent reads the LLC's exact name and the date its articles of organization were filed from the State's record, puts the name on both of the form's pages, fills in the filer block, prepares the statements the record calls for and, where the service of process address is an agent company's, replaces it with one the LLC chooses.
We apply LLC Law §211-A (opens in a new tab), §302 (opens in a new tab) and §301 (opens in a new tab) to your live record: which statements it calls for, and whether the address must be replaced.

Someone else files it
Another filing service, or an attorney
Either can file the same Certificate of Change for an LLC, under its own terms and at its own price.
Another filing service
Five services that publish a price for filing a change to an LLC's New York record charge from $125 to $329 with the State's $30 fee included, a median of $159 (read October 29, 2026). Three of those prices are for a general amendment, one for an address change and one for a change of registered agent; none of the five pages says it files a certificate that only revokes an agent.
What Remove Registered Agent's $100 includes: the $30 State filing fee; the service of process address and the email statements on the same certificate when your LLC's record calls for them; electronic filing through eCorp under its operator's service company account; any correction the State asks for, at no charge; and the State's filing receipt.

An attorney
An attorney can advise on an LLC's own situation. Remove Registered Agent is a document filing service, not a law firm, and this page is general information, not legal advice.
Each attorney sets their own fee.
For the filing itself, Remove Registered Agent prepares the certificate from the LLC's live State record and files it for $100 all in.

Switch agents
Switching to another registered agent
A switch is a Certificate of Change too: LLC Law §211-A(a) lets an LLC "make, revoke or change the designation of a registered agent".
On form DOS-1359-f, a switch is its own statement: "The limited liability company hereby changes the designation of its registered agent to:" (DOS-1359-f).
The service of process address is a separate entry: it "shall continue until the filing of a certificate or other instrument under this chapter directing the mailing to a different post office address" (§301(c)). So a switch that leaves the address as it was can leave it at the old agent company's building.
Of the active New York LLCs formed from October 23, 2025 to October 22, 2026 that name a registered agent company, three in four (75.9%) have their service of process address at their agent's own building, by our count of New York DOS open data on October 23, 2026.
A new agent company serves under its own contract and price. The yearly prices that six registered agent companies publish run from $125 to $249 (read October 29, 2026; one from an archived copy). With the State's filing receipt in hand, the LLC can then cancel or not renew its contract with the agent company, as that contract allows.
New York law does not require an LLC to have a registered agent: an LLC "may designate" one "In addition to the designation of the secretary of state" (LLC Law §302(a)). Every New York LLC already has an agent for service of process: the Secretary of State, named in its articles of organization.
Remove Registered Agent files the certificate that revokes the agent without naming a new one and, where needed, replaces the service of process address, for $100 all in.
The Certificate of Change accepted by the State, or your full $100 back. How the guarantee works
The agent resigns
Waiting for the agent company to resign
A registered agent may resign by its own filing: LLC Law §302(d) says "The registered agent of a limited liability company may resign as such agent", and under §302(e) the designation ends "thirty days after the filing with the department of state of the certificate of resignation."
Whether an agent company files a resignation is its own choice, and a resignation leaves the service of process address where it was unless another filing changes it.
On the 40 domestic LLC records we read on October 26, 2026 whose registered agent had resigned in 2026 and whose process addressee had not also resigned, the status read "Active" and the registered agent entry read "Registered Agent resigned". On 16 of the 40, the service of process address still named an agent company.
What happens when your registered agent resigns in New York
Remove Registered Agent files the change without waiting on the agent company: one Certificate of Change that revokes the agent and, where needed, replaces the service of process address.
Cancel the contract
Cancelling the contract only
Cancelling a registered agent company's yearly contract does not change a New York LLC's State record: the State keeps listing the agent, and the LLC's service of process address, until a filing changes them. Remove Registered Agent files the Certificate of Change that takes the agent company off a New York LLC's State record and, where needed, replaces the LLC's service of process address with one the LLC chooses. With the State's filing receipt in hand, the LLC can then cancel or not renew its contract with the agent company, as that contract allows.
An agent company's bill follows its contract with the LLC, not the State's record. Whether the agent company's billing ends depends on its own terms.
After a registered agent service ends, a New York LLC's State record can still name the agent company, and its service of process address can still be that company's address. One Certificate of Change can take the agent company off a New York LLC's State record and, where needed, replace the LLC's service of process address.
Registered agent companies set their own terms for leaving, and the texts differ.
Questions about the options
Can I be my own registered agent?
New York's LLC Law §302(b) does not mention owners; it lists who may serve as a registered agent: "The agent must be either: (1) a natural person who is a resident of this state or has a business address in this state; (2) a domestic limited liability company or an authorized foreign limited liability company; or (3) a domestic corporation or a foreign corporation authorized to do business in this state." A registered agent is optional in New York: an LLC "may designate" one (§302(a)). Taking an agent company off a New York LLC's record is one Certificate of Change; Remove Registered Agent prepares and files it.
Can I cancel my registered agent before naming a new one?
A Certificate of Change can revoke a New York LLC's registered agent without naming another: the revoke statement on form DOS-1359-f has no blank for a name, and an LLC "may designate a registered agent" (LLC Law §302(a)). The agent company's own terms set when it treats the service as cancelled, and the texts differ: some companies' published pages ask for a new agent first, and some allow cancelling in an online portal with no State filing. Whether a company accepts the filed record is between the LLC and that company.
Can I file a Certificate of Change online?
Yes, through a service company. The New York Department of State's updates page says "Please submit all filings and requests via email or mail." (read October 26, 2026).
