Remove Registered Agent

The filing and your address

Does removing a NY registered agent change your address?

By Sandeep ArnejaUpdated

The short answer

On a New York LLC's State record, the registered agent and the service of process address are separate entries.

Each entry stays as it is until a filing changes it. For the address, LLC Law §301(c) (opens in a new tab) says it "shall continue until the filing of a certificate or other instrument under this chapter directing the mailing to a different post office address".

Revoking a New York LLC's registered agent does not move its service of process address: the Secretary of State keeps mailing a copy of any process against the LLC to the address on file until a filing changes it. One Certificate of Change, form DOS-1359-f, can revoke the registered agent and replace the service of process address on the same filing.

By our count of New York DOS open data, of 724 revocations filed in 2025 and in 2026 to October 19 whose address sat at an agent company, 107 (14.8%) left it there.

Remove Registered Agent reads the LLC's live record before anything is filed. When the record shows the address with an agent company, the certificate Remove Registered Agent files carries the address statement too, with the address the LLC chooses.

Remove Registered Agent files electronically through its operator's service company account with the Department of State: the certificate goes into the Department's system when it is submitted, dated that day, with nothing to print, mail or scan. Of the 12 Certificates of Change our operator emailed to the Department of State from June 15 to July 1, 2026, 11 were dated the day they were sent or the next business day; a mailed one is dated no earlier than the day the mail reaches the Department. If the State asks for a correction, Remove Registered Agent makes the correction and resubmits the certificate at no charge. The Certificate of Change accepted by the State, or your full $100 back.

Our operator's own filings show what each route has meant in practice. Of the 100 Certificates of Change our operator filed from January 12 to October 29, 2026, the 29 uploaded through eCorp's E-Submission, the route every certificate an LLC signs takes, had a median of under 1 day from filing to the State's response, and the 23 sent by mail a median of 7.2 days from mailing. These are past records, not a promise.

Where the State mails process once the agent is removed

For an LLC that is not suspended, a copy of process personally delivered to the Secretary of State goes by certified mail to the address on file.

The articles of organization of a New York LLC designate the Secretary of State as the LLC's agent for service of process, with a post office address to which the Secretary of State mails a copy of any process (LLC Law §203(e)(4) (opens in a new tab)). That designation does not depend on a registered agent, so removing one leaves this route, and its address, as they were. That address is the LLC's service of process address; process is the papers served to start or carry on a legal action, such as a summons.

For an LLC that is not suspended, when process is personally delivered to the Secretary of State, service on the LLC is complete at that point, and the Secretary of State then promptly sends a copy by certified mail, return receipt requested, to the post office address on file for that purpose (LLC Law §303(a)(1) (opens in a new tab)). For an LLC suspended under §301-A, service through the Secretary of State follows LLC Law §301-A(e)(2), quoted in how the State forwards process.

For an LLC that is not suspended, under LLC Law §303(a)(2), electronic service through the Secretary of State requires that the LLC have an email address on file for that purpose; the Secretary of State then emails a notice to that address and makes a copy of the process available. Service through the Secretary of State does not limit any other manner of service the law permits (LLC Law §303(b)).

Two routes for process served on the Secretary of State, for an LLC that is not suspended
  • LLC Law §303(a)(1)

    By personal delivery

    1. How

Personally delivering "duplicate copies of such process together with the statutory fee" at "the office of the department of state in the city of Albany" (LLC Law §303(a)(1))

    2. Service is complete

"when the secretary of state is so served" (LLC Law §303(a)(1))

    3. Then

The Secretary of State "shall promptly send one of such copies by certified mail, return receipt requested" (LLC Law §303(a)(1))

    Where the copy is mailed

The post office address on file for service of process, until a filing changes it
  • LLC Law §303(a)(2)

    Electronically

    1. How

Requires that the LLC have an email address on file for that purpose

    2. Service is complete

"when the secretary of state has reviewed and accepted service of such process" (LLC Law §303(a)(2))

    3. Then

The Secretary of State then emails a notice to that address and makes a copy of the process available

    Where the notice goes

The email address on file for that purpose

For an LLC suspended under §301-A, service through the Secretary of State follows LLC Law §301-A(e)(2).

Service through the Secretary of State does not limit any other manner of service the law permits (LLC Law §303(b)).

What a registered agent company does with process it still receives after the LLC leaves is addressed under that company's own terms. The guide on cancelling a registered agent service sets out what agent companies' published terms ask when an LLC leaves.

Removing only the agent: what stays on your record

The State accepts a certificate that only revokes the agent, and that certificate leaves the address where it was.

By our count of New York DOS open data, of 724 revocations filed in 2025 and in 2026 to October 19 whose address sat at an agent company, 107 (14.8%) left it there.

Checking only the revoke statement revokes the registered agent's designation and leaves the address and the email as they were. The service of process entry keeps whatever it held before. On all 14 records we read on October 23, 2026 whose agent a Certificate of Change had revoked, the State's live record showed "Registered Agent Revoked" under "Registered Agent Name and Address", with a blank agent address, and the filing history listed "REGISTERED AGENT_REVOKE AUTHORITY OF REGISTERED AGENT". On two records read on October 23, 2026 whose certificates revoked the agent without the address statement, the service of process entry still held the agent company's name and address. One of the two certificates also added an email address for notice of electronic service of process (e-service).

When process against an LLC that is not suspended is personally delivered to the Secretary of State, a copy goes by certified mail, return receipt requested, to the address on file (LLC Law §303(a)(1)).

  1. Before

An agent is named, and the address on file is the agent company's

    Registered agent

    The agent company

    Service of process address

    The agent company's address
  2. Revoke statement only

One certificate, with the revoke statement

    Registered agent

    REGISTERED AGENT REVOKED

    Service of process address

Still the agent company's address, until a filing changes it
  3. Revoke and address statements

    One certificate, with both statements

    Registered agent

    REGISTERED AGENT REVOKED

    Service of process address

The address the LLC chooses, replaced in its entirety

Service through the Secretary of State does not limit any other manner of service the law permits (LLC Law §303(b)).

By our count of New York DOS open data, of the active domestic LLCs formed from October 23, 2025 to October 22, 2026 that name a registered agent company (40,678), 30,865 (75.9%) have their service of process address at their agent's own building. For an LLC in that position, revoking the agent alone leaves the address at the agent's building. Remove Registered Agent's free record check reads that entry before anything is filed, and when the address is an agent company's, the certificate it prepares carries the address statement as well.

How one certificate replaces the address, and the email

The address statement on DOS-1359-f does not edit the old entry; it replaces all of it.

What the form says

The statement says the address "is changed to read in its entirety as follows" (DOS-1359-f), so what the certificate states becomes the whole entry. That includes the "Name:" line Public Inquiry prints above the street: an address statement whose first line repeats the agent company's name keeps that name on the record.

Several changes can share one filing. Section 211-A(a) (opens in a new tab) says "Any one or more such changes may be accomplished by filing a certificate of change", so the revoke statement, the address statement and an email statement can all sit on the same certificate.

The e-service email address also stays until a filing changes it. Under §301(c), a designated email address "shall continue until the filing of a certificate or other instrument under this chapter changing or deleting such email address." The public DOS record shows the e-service status ("Permitted" or "Not Permitted") but never the email address itself. Where it shows "Permitted", the certificate's change or delete statement can replace or remove the e-service email address, as the LLC chooses.

The address a certificate states is public. DOS Public Inquiry shows the new address, and the State's open data keeps the old address on the row of the filing that set it. Which address goes on the certificate is the LLC's choice.

The guide to filing DOS-1359-f goes through every statement on the form.

The e-service email, and what "Permitted" means

The State's record shows one line about the e-service email, and never the email itself.

On the records we read on October 23, 2026, DOS Public Inquiry shows the service of process address under "Service of Process on the Secretary of State as Agent", followed by "Electronic Service of Process on the Secretary of State as agent:" with "Permitted" or "Not Permitted". The Department of State's instructions for process servers (opens in a new tab) tell them to use Public Inquiry to determine "if the entity has opted in to receive service electronically."

What the law says

The email on file is optional at formation: LLC Law §203(e)(4) says "The limited liability company may include an email address to which the secretary of state shall email a notice of the fact that process against it has been electronically served upon him or her".

The Department of State's articles form for a domestic LLC, DOS-1336-f (Rev. 12/22), prints the email line in its THIRD statement as "(Optional) The email address to which the Secretary of State shall email a notice of the fact that process against the limited liability company has been served electronically upon the Secretary of State is:".

By our count of DOS records, measured on October 23, 2026, 24.2% of the 211,182 domestic LLCs formed from August 1, 2025 showed e-service "Permitted" within five days of formation; among the 130,860 that named no registered agent, 22.1% did. By agent company, the share ran from 0.0% to 99.8%.

Whose email is on file cannot be read from the record. On 96 New York LLC records we read on October 26, 2026, the State's record data had an empty email field on every one, including the 47 that read "Permitted".

A Certificate of Change can add, change or remove the email: §211-A(a)(iii) lets an LLC amend its articles to "specify, change or delete the email address to which the secretary of state shall email a notice of the fact that process against the limited liability company has been electronically served upon him or her".

By our count of DOS open data and live records, at least 44 Certificates of Change filed for domestic LLCs and PLLCs from January 1 to October 19, 2026 list only "ELECTRONIC SERVICE OF PROCESS" in their filing history. On October 26, 2026, the e-service line read "Permitted" after 39 of them and "Not Permitted" after 5.

The biennial statement has an email notice of its own, set out on another Department of State page. The Department of State's biennial statements page (opens in a new tab) says "If an email address has been provided to the Department of State, the Department will send an email notice at the beginning of the calendar month in which the Biennial Statement is due." and "Entities who wish to receive email Biennial Statement notices must provide an email address at the Department of State's Email Address Submission/Update Service."

Other filings that set the address, or leave it

The biennial statement can also set the address, and a registered agent's resignation leaves it as it was.

A Certificate of Change is not the only filing that sets the address: the address in the statement an LLC files biennially under LLC Law §301(e)(1) "shall supersede any previous address on file with the department of state for this purpose."

A biennial statement has its own timing: the Department of State's biennial statements page (opens in a new tab) says "A Biennial Statement should not be filed prior to the calendar month in which the Biennial Statement is due." A Certificate of Change has no such window: §211-A(a) lets an LLC amend its articles "from time to time", and the same certificate can revoke the registered agent.

A registered agent may resign by filing a certificate of resignation, and its designation ends thirty days after that filing (LLC Law §302(d), (e) (opens in a new tab)). The resignation ends the designation, not the address: on a New York LLC record read on October 23, 2026, after the registered agent resigned, the registered agent entry read "Registered Agent resigned" and the service of process entry still named the agent company.

If the agent service already ended

After a registered agent service ends, a New York LLC's State record can still name the agent company, and its service of process address can still be that company's address. One Certificate of Change can take the agent company off a New York LLC's State record and, where needed, replace the LLC's service of process address.

Remove Registered Agent files that certificate for New York LLCs. The LLC chooses the new address and signs the certificate.

Who does what when the address is replaced

The address is always the LLC's choice; the reading, the writing and the filing are what Remove Registered Agent does.

An LLC can also fill in and file the certificate itself, by email or mail. For an owner filing it by hand, it comes to at least 10 hours of work, with everything right the first time; our operator timed it. Most of those hours go to steps a quick estimate leaves out: reading the LLC Law to choose the statements, checking with the agent company, calling the Department of State and waiting for its answer, and checking everything again before mailing. In our operator's experience, one small mistake on the form brings a correction letter and a resubmission. The DOS-1359-f guide lists where the hours go.

Remove Registered Agent applies LLC Law §211-A (opens in a new tab), §302 (opens in a new tab) and §301 (opens in a new tab) to your LLC's live record: which statements it calls for, and whether the address must be replaced. If the State asks for a correction, Remove Registered Agent makes the correction and resubmits the certificate at no charge.

The Certificate of Change accepted by the State, or your full $100 back.

Remove Registered Agent files each signed certificate electronically through the E-Submission upload of eCorp, the Department of State's online filing system, under its operator's service company account; filers without a service company account email or mail the Certificate of Change.

Questions

If I remove my registered agent in New York, where will the State mail process served on my LLC?

For an LLC that is not suspended, the Secretary of State keeps using the address already on file: when process against the LLC is served on the Secretary of State by personal delivery, LLC Law §303(a)(1) says the Secretary of State "shall promptly send one of such copies by certified mail, return receipt requested" to the LLC "at the post office address on file in the department of state specified for that purpose." Under §301(c), that address "shall continue until the filing of a certificate or other instrument under this chapter directing the mailing to a different post office address". The Certificate of Change that revokes the agent, form DOS-1359-f, can also replace that address on the same filing. When the record shows the address with an agent company, the certificate Remove Registered Agent files carries the address statement too, with the address the LLC chooses. For an LLC suspended under §301-A, service through the Secretary of State follows LLC Law §301-A(e)(2).

Can I change only my LLC's service of process address?

Yes. A Certificate of Change can change only that address: LLC Law §211-A(a)(ii) lets an LLC amend its articles to "specify or change the post office address to which the secretary of state shall mail a copy of any process against the limited liability company served upon him or her". When the record check finds no agent company to remove, Remove Registered Agent can still prepare that address change on form DOS-1359-f, with the address statement and the address the LLC chooses. The LLC signs it, and Remove Registered Agent files it electronically under its operator's service company account. Remove Registered Agent files a New York LLC's Certificate of Change for $100 all in, including the $30 State filing fee. The Certificate of Change accepted by the State, or your full $100 back.

Does revoking a registered agent change the e-service email address?

Revoking the agent alone leaves the e-service email address, the email for notice of electronic service of process, as it is. Under LLC Law §301(c), a designated email address for notice of electronic service "shall continue until the filing of a certificate or other instrument under this chapter changing or deleting such email address." On form DOS-1359-f, separate statements add, change or delete that email address. The public DOS record shows the e-service status ("Permitted" or "Not Permitted") but never the email address itself.

What does checking only the revoke statement on DOS-1359-f leave in place?

The revoke statement revokes the registered agent's designation on the LLC's record, and the New York Department of State accepts a certificate that checks only that statement. It leaves in place the LLC's service of process address, where the Secretary of State mails a copy of any process against the LLC, and the email for notice of electronic service of process. By our count of New York DOS open data, of 724 revocations filed in 2025 and in 2026 to October 19 whose address sat at an agent company, 107 (14.8%) left it there. The address statement on the same certificate replaces the address "in its entirety" (DOS-1359-f). When the record shows the address with an agent company, the certificate Remove Registered Agent files carries the address statement too, with the address the LLC chooses.

Does a registered agent's resignation change the service of process address?

Not by itself. Under LLC Law §302(e), "The designation of a registered agent shall terminate thirty days after the filing with the department of state of the certificate of resignation." The service of process address is a separate entry on the record: on a New York LLC record read on October 23, 2026, after the registered agent resigned, the registered agent entry read "Registered Agent resigned" and the service of process entry still named the agent company.
