What it costs to remove a registered agent from a New York LLC
Remove Registered Agent files a New York LLC's Certificate of Change for $100 all in, including the $30 State filing fee.
The Certificate of Change accepted by the State, or your full $100 back. How the guarantee works
The price is one payment per certificate, with nothing recurring, and it pays for the work: Remove Registered Agent fills in the certificate and files it electronically. The record check is free, and Remove Registered Agent asks for payment only after your LLC has signed the certificate.

Files electronically with the Department of State as a service company

What is included
What Remove Registered Agent's $100 covers
The State's $30 filing fee is inside the price, not added to it.
- Reading your LLC's live record at the New York Department of State and confirming with you what the certificate will change
- Preparing the Certificate of Change (form DOS-1359-f, or DOS-1362-f for a foreign LLC) for your LLC to sign
- The $30 State filing fee
- Filing the signed certificate electronically with the Department of State, through eCorp's E-Submission upload under our operator's service company account
- Making any correction the State asks for, and resubmitting the certificate, at no charge
- Checking your LLC's live record afterwards, and sending you the State's filing receipt and what changed
When your LLC's record calls for them, a new service of process address and a change to the email address for notice of electronic service of process go on the same certificate, at the same $100.
The service of process address is the post office address to which the Secretary of State mails a copy of any process against the LLC served on it. Process is the papers served to start or carry on a legal action, such as a summons.
Not included
What the price does not cover
Four things sit outside Remove Registered Agent's price.
- The Department of State's optional expedited handling, which costs an additional, non-refundable fee
- Naming a new registered agent
- Changing your LLC's county
- Anything your registered agent company charges under its own contract
With the State's filing receipt in hand, the LLC can then cancel or not renew its contract with the agent company, as that contract allows.
The State's fee
Where the $30 State filing fee comes from
New York's LLC Law sets the State's fee for filing a Certificate of Change.
The State filing fee for a Certificate of Change is set by LLC Law §1101(v): "For filing a certificate of change pursuant to subdivision (a) of section two hundred eleven-A ... thirty dollars". The fee is for filing a certificate, so one certificate that carries several changes takes one fee.
Each LLC needs its own certificate and its own $30 fee, so Remove Registered Agent's $100 is for one LLC's certificate.
When you pay
When you pay, and when nothing is charged
One payment, after your LLC has signed the certificate and before we file it.
The record check is free and needs no account.
You confirm by email what the certificate will change, and a member, manager or authorized person of your LLC signs it.
You pay the $100, with the $30 State filing fee inside it.
Remove Registered Agent files the certificate only after the payment goes through.
If the record check shows nothing to remove, no removal is filed or sold.
Refunds
If you change your mind, or the State does not accept the filing
Remove Registered Agent's refund policy says when the full $100 comes back, State fee included.
- Until we submit your signed certificate to the Department of State, you can ask for the full $100 back, for any reason.
- If the State asks for a correction, we make the correction and resubmit the certificate at no charge. If the correction changes the certificate, you sign the corrected copy first.
- If the State cannot accept the filing for a reason we cannot fix with you, we refund the full $100.
- Every refund is the full $100, including the $30 State filing fee inside it, to the card or other payment method you paid with.
Filing it yourself
Filing the Certificate of Change yourself, or having it filed for you
Yes: a New York LLC can file its own Certificate of Change, on DOS form DOS-1359-f, and pay the State's $30 filing fee (LLC Law §1101(v)) itself. Doing it yourself means:
Finding the right form: DOS-1359-f for a domestic LLC, DOS-1362-f for a foreign LLC
Printing it and filling it in: the LLC's exact name and the date its articles of organization were filed, the LLC's name again on the form's second page, and the filer's name and mailing address
Filling in the cover sheet that opens the form's PDF, with the email address the State returns documents to
Reading the LLC Law to choose the statements your LLC's record calls for: revoking the registered agent does not move the service of process address, which is a separate statement on the same certificate
Calling the Department of State to confirm the form is filled in right, and waiting for the answer
Having a member, manager or authorized person of the LLC sign it, with their name and capacity
Paying the State's $30 filing fee by check or with the Department of State's card authorization form
Sending it by email or mail; a mailed certificate goes with a self-addressed stamped envelope for the confirmation
For an owner filing it by hand, it comes to at least 10 hours of work, with everything right the first time; our operator timed it. Most of those hours go to steps a quick estimate leaves out: reading the LLC Law to choose the statements, checking with the agent company, calling the Department of State and waiting for its answer, and checking everything again before mailing. Remove Registered Agent files electronically through its operator's service company account with the Department of State: the certificate goes into the Department's system when it is submitted, dated that day, with nothing to print, mail or scan. Of the 12 Certificates of Change our operator emailed to the Department of State from June 15 to July 1, 2026, 11 were dated the day they were sent or the next business day; a mailed one is dated no earlier than the day the mail reaches the Department.
In our operator's experience, one small mistake on the form brings a correction letter and a resubmission.
The New York Department of State's updates page says "Please submit all filings and requests via email or mail." (read October 26, 2026). Form DOS-1359-f has no notary, oath or perjury line. DOS-1359-f's notes also say "You are not required to use this form."
The guide to filing form DOS-1359-f covers each statement on the form, the fee and where to send it.
Having it filed for you
As of October 30, 2026, our operator has filed 100 New York Certificates of Change since January 2026, all accepted by the State: the same filing a New York LLC uses to revoke its registered agent. On each certificate it files, Remove Registered Agent reads the LLC's exact name and the date its articles of organization were filed from the State's record, puts the name on both of the form's pages, fills in the filer block, prepares the statements the record calls for and, where the service of process address is an agent company's, replaces it with one the LLC chooses.
We apply LLC Law §211-A (opens in a new tab), §302 (opens in a new tab) and §301 (opens in a new tab) to your live record: which statements it calls for, and whether the address must be replaced.
Remove Registered Agent files each signed certificate electronically through the E-Submission upload of eCorp, the Department of State's online filing system, under its operator's service company account; filers without a service company account email or mail the Certificate of Change. Of the 100 Certificates of Change our operator filed from January 12 to October 29, 2026, the 29 uploaded through eCorp's E-Submission, the route every certificate an LLC signs takes, had a median of under 1 day from filing to the State's response, and the 23 sent by mail a median of 7.2 days from mailing. These are past records, not a promise.
With Remove Registered Agent, the LLC confirms the details by email and a member, manager or authorized person signs; Remove Registered Agent does the rest, for $100 all in: it prepares the certificate from the LLC's live State record, files it electronically through eCorp under its operator's service company account, makes any correction the State asks for at no charge, and sends the State's filing receipt.
