The law and your LLC's record

Do I need a registered agent for my New York LLC?

New York law does not require an LLC to have a registered agent: an LLC "may designate" one "In addition to the designation of the secretary of state" (LLC Law §302(a)). Every New York LLC already has an agent for service of process: the Secretary of State, named in its articles of organization. Fewer than three in ten active New York LLCs name a registered agent: 573,852 of 2,069,584 (27.7%), by our count of New York DOS open data on October 27, 2026, with placeholders such as "Registered Agent Revoked" left out. None of the Department of State's four standard forms that create or authorize an LLC has a blank for a registered agent: DOS-1336-f (domestic LLC), DOS-1374-f (PLLC), DOS-1361-f-a (foreign LLC) and DOS-1369-f-a (foreign PLLC), each Rev. 12/22. DOS-1336-f's first note says "You are not required to use this form."

Is the Secretary of State my LLC's registered agent?

No. The Secretary of State is a New York LLC's agent for service of process, designated in its articles of organization (LLC Law §203(e)(4)). A registered agent is a separate designation that an LLC "may" make "In addition to the designation of the secretary of state" (§302(a)). Process is the papers served to start or carry on a legal action, such as a summons.

What happens to my LLC's service of process address when the agent is removed?

Revoking a New York LLC's registered agent does not move its service of process address: the Secretary of State keeps mailing a copy of any process against the LLC to the address on file until a filing changes it. One Certificate of Change, form DOS-1359-f, can revoke the registered agent and replace the service of process address on the same filing. By our count of New York DOS open data, of 724 revocations filed in 2025 and in 2026 to October 19 whose address sat at an agent company, 107 (14.8%) left it there.

Does removing a NY registered agent change your address?

Does removing the registered agent change the email for electronic service of process?

Revoking the agent alone leaves the e-service email address, the email for notice of electronic service of process, as it is. Under LLC Law §301(c), a designated email address for notice of electronic service "shall continue until the filing of a certificate or other instrument under this chapter changing or deleting such email address." On form DOS-1359-f, separate statements add, change or delete that email address. The public DOS record shows the e-service status ("Permitted" or "Not Permitted") but never the email address itself.

What does the State's record show about my LLC?

The New York Department of State's FAQ page for corporations and business entities, read October 25, 2026, lists what its records give on an entity: "(1) current entity name; (2) date of organization; (3) jurisdiction, if other than New York State; (4) county location; (5) service of process address; (6) registered agent, if any; and (7) the current status of the entity." On the records we read on October 23, 2026, DOS Public Inquiry shows the service of process address under "Service of Process on the Secretary of State as Agent", followed by "Electronic Service of Process on the Secretary of State as agent:" with "Permitted" or "Not Permitted". The free record check on this site shows what the State lists for your LLC today.

Does the State's record show who owns my LLC?

The Department of State's FAQ page, read October 26, 2026, says "The Department of State does not require or maintain information regarding the names and addresses of officers or directors of corporations, the members or managers of a limited liability company, the limited partners of a limited partnership or the partners in a limited liability partnership." The list in LLC Law §302(b) says who the agent may be; it does not mention an LLC's members, managers or owners. An LLC's organizer is not necessarily an owner: LLC Law §203(b) says "An organizer may, but need not be, a member of the limited liability company that he or she forms."

Leaving a registered agent company

Why do I pay a registered agent company every year?

Many LLCs pay an agent company under a yearly contract. Each of the six registered agent companies whose published price we read on October 29, 2026 lists it as a yearly one (one of them from an archived copy). The published terms of those six each describe a renewal that can be charged automatically unless the service is cancelled before it. Some companies include the first year with a formation and renew the service each year after it. An agent company's bill follows its contract with the LLC, not the State's record.

Cancelling a registered agent without a replacement in NY

Does cancelling my agent company's contract update my New York record?

Cancelling a registered agent company's yearly contract does not change a New York LLC's State record: the State keeps listing the agent, and the LLC's service of process address, until a filing changes them. Remove Registered Agent files the Certificate of Change that takes the agent company off a New York LLC's State record and, where needed, replaces the LLC's service of process address with one the LLC chooses. With the State's filing receipt in hand, the LLC can then cancel or not renew its contract with the agent company, as that contract allows.

How to cancel a registered agent service in New York

Will I still be charged by my agent company after the filing?

Whether and when the agent company's billing ends, including its renewal date and any deadline it sets before a charge date, is addressed under each company's published terms, where it publishes them. An agent company's bill follows its contract with the LLC, not the State's record. A Certificate of Change changes the State's record only: none of its statements is about an agent company's contract or bill.

How to cancel a registered agent service in New York

What proof do agent companies ask for, and what does the filing give me?

Registered agent companies set their own terms for leaving, and the texts differ. Some companies' published terms ask for written proof that they are no longer listed as your registered agent; some allow cancelling in an online portal with no State filing. Once the Certificate of Change is filed, the State's filing receipt confirms the filing. On the State's live record, a revoked agent then shows as "Registered Agent Revoked", with a blank agent address: all 14 records we read on October 23, 2026 whose agent a Certificate of Change had revoked showed it that way. You send the receipt and the record to the company. Whether a company accepts them is between you and that company.

How to cancel a registered agent service in New York

Can I cancel my registered agent before naming a new one?

A Certificate of Change can revoke a New York LLC's registered agent without naming another: the revoke statement on form DOS-1359-f has no blank for a name, and an LLC "may designate a registered agent" (LLC Law §302(a)). The agent company's own terms set when it treats the service as cancelled, and the texts differ: some companies' published pages ask for a new agent first, and some allow cancelling in an online portal with no State filing. Whether a company accepts the filed record is between the LLC and that company.

Cancelling a registered agent without a replacement in NY

Does the registered agent company have to agree, or be told?

The texts of LLC Law §211-A(a), §302 and DOS-1359-f contain no requirement that the agent consent to, or be told of, a certificate the LLC files. With the State's filing receipt in hand, the LLC can then cancel or not renew its contract with the agent company, as that contract allows.

Why does my LLC's record name a company I never hired?

Some companies' terms say their registered agent service can be provided through a partner or affiliate, so the agent named on an LLC's New York record can be a different company from the one the LLC pays. The free record check on this site shows what the State lists for your LLC today.

Check my record

My registered agent service already ended. Is there anything to file?

After a registered agent service ends, a New York LLC's State record can still name the agent company, and its service of process address can still be that company's address. One Certificate of Change can take the agent company off a New York LLC's State record and, where needed, replace the LLC's service of process address. The free record check on this site shows what the State lists for your LLC today.

Our service and price

What does Remove Registered Agent file, and what does it cost?

Remove Registered Agent files a New York LLC's Certificate of Change for $100 all in, including the $30 State filing fee. The address change and the email statements go on the same certificate, at the same $100, when the case calls for them. The price is one payment per certificate, with nothing recurring. It covers reading the live record and confirming the case, preparing the certificate for you to sign, the State fee, filing it electronically with the Department of State through eCorp, making any correction the State asks for, checking the live record afterwards, and sending you the State's filing receipt and what changed. It does not include the Department of State's optional expedite fees, a new registered agent, a county change, or anything the agent company charges. The Certificate of Change accepted by the State, or your full $100 back.

What the price covers

My LLC moved. Can you update its service of process address?

Yes. The same Certificate of Change that revokes a registered agent, form DOS-1359-f (or DOS-1362-f for a foreign LLC), can replace the LLC's service of process address with a new one the LLC chooses. When the record check finds no agent company to remove, Remove Registered Agent can still prepare and file that address change electronically, for $100 all in, including the $30 State filing fee. The Certificate of Change accepted by the State, or your full $100 back.

Check my record

How long does it take to remove the agent from my record?

The New York Department of State publishes no standard processing time for a Certificate of Change. By our count of New York DOS open data read on October 26, 2026, of the 467 Certificates of Change that revoked a New York LLC's registered agent from January 2 to October 13, 2026, 239 (51.2%) show an "Approved Date" 3 days or less after their "Date Filed", and 36 (7.7%) show one more than 30 days after it. How a certificate reaches the State is part of the wait. Of the 100 Certificates of Change our operator filed from January 12 to October 29, 2026, the 29 uploaded through eCorp's E-Submission, the route every certificate an LLC signs takes, had a median of under 1 day from filing to the State's response, and the 23 sent by mail a median of 7.2 days from mailing. These are past records, not a promise. Remove Registered Agent files each signed certificate electronically through the E-Submission upload of eCorp, the Department of State's online filing system, under its operator's service company account; filers without a service company account email or mail the Certificate of Change. An uploaded certificate goes into the Department of State's system when it is submitted, dated that day, with a work order number, and there is nothing to print, mail or scan. Of the 12 Certificates of Change our operator emailed to the Department of State from June 15 to July 1, 2026, 11 were dated the day they were sent or the next business day; a mailed one is dated no earlier than the day the mail reaches the Department. When you send a request, we'll reply by email within one business day to confirm your LLC's record and the next steps, before anything is filed.

How long does it take to remove a registered agent in NY?

Who signs the Certificate of Change, and does it need a notary?

Form DOS-1359-f has no notary, oath or perjury line. Under LLC Law §207(a)(6), the certificate "must be signed by at least one member, manager or authorized person of the limited liability company", and §207(d) says "Each article or certificate must include the name and capacity of each signer." The form's capacity boxes are Member, Manager and Authorized Person. The customer signs every certificate Remove Registered Agent files; Remove Registered Agent never signs for the LLC and never picks the signer's capacity.

How to file DOS-1359-f to remove a New York registered agent

What happens if the State asks for a correction or cannot accept the filing?

Under LLC Law §209, "The department of state shall not review such articles or certificates for legal sufficiency; its review shall be limited to determining that the form has been completed." If the State asks for a correction, we make the correction and resubmit the certificate at no charge. As of October 30, 2026, our operator has filed 100 New York Certificates of Change since January 2026, all accepted by the State: the same filing a New York LLC uses to revoke its registered agent. Our refund policy sets out each case, from a correction the State asks for to a filing the State cannot accept, and what is refunded in each. The Certificate of Change accepted by the State, or your full $100 back.

Who runs Remove Registered Agent?

Remove Registered Agent, a document filing service for New York LLCs, is operated by Sandeep Arneja LLC. It is not a law firm. The State's filing receipt for each certificate we file prints "SERVICE COMPANY: SANDEEP ARNEJA LLC", the company that operates Remove Registered Agent. Sandeep Arneja LLC also runs New York LLC publication filings. As of October 30, 2026, our operator has filed 100 New York Certificates of Change since January 2026, all accepted by the State: the same filing a New York LLC uses to revoke its registered agent. Remove Registered Agent was founded by Sandeep Arneja, who has worked in technology for more than 20 years.

About us

Special cases

Why does my LLC's record say "Suspended" and "Process Addressee Resigned"?

"Process Addressee Resigned" is how a New York LLC's record shows that its process addressee, the party whose address is the LLC's service of process address, has resigned, a resignation made under LLC Law §301-A. Section 301-A(b) says that upon the LLC's failure to file a certificate giving the new address, "its authority to do business in this state shall be suspended." Section 301-A(c) says "The filing by the department of state of a certificate of amendment or certificate of change or the filing of a statement under section three hundred one of this article providing for a new address by a designating limited liability company shall annul the suspension and its authority to do business in this state shall be restored and continued as if no suspension had occurred." Remove Registered Agent files the second of those three, a Certificate of Change on form DOS-1359-f, or DOS-1362-f for a foreign LLC. The LLC chooses the new address, and when the record also names a registered agent, the same certificate revokes it.

What happens when your registered agent resigns in New York

What happens if my registered agent resigns?

A New York registered agent may resign by filing a certificate of resignation, and under LLC Law §302(e) "The designation of a registered agent shall terminate thirty days after the filing with the department of state of the certificate of resignation." The LLC's service of process address is a separate entry: under §301(c) it "shall continue until the filing of a certificate or other instrument under this chapter directing the mailing to a different post office address". After a resignation, §302(e) says "A certificate designating a new registered agent may be delivered to the department of state by the limited liability company within the thirty days or thereafter." A resignation leaves the service of process address where it was; one Certificate of Change can replace it, and Remove Registered Agent prepares and files it.

What happens when your registered agent resigns in New York

Does a foreign LLC use the same form?

No: a foreign LLC files its Certificate of Change under LLC Law §804-A, on form DOS-1362-f, and a New York LLC, a PLLC included, files form DOS-1359-f. DOS-1362-f (Rev. 12/22) words the removal "The foreign limited liability company hereby revokes the designation of its registered agent." The statement has no blank, so the certificate does not name the agent it revokes. Remove Registered Agent prepares the form the LLC's record calls for.

Does a PLLC remove its registered agent the same way?

A domestic LLC's certificate, a PLLC's included, is DOS-1359-f. LLC Law §1203(c)(1) says "A certified copy of the articles of organization and of each amendment thereto and restatement thereof shall be filed by the professional service limited liability company with the licensing authority within thirty days after the filing of such certificate or amendment with the department of state." LLC Law §211-A(a) opens "A limited liability company may amend its articles of organization from time to time to". The New York texts we read do not say whether this covers a Certificate of Change; the PLLC's licensing authority can say. Remove Registered Agent prepares and files a PLLC's DOS-1359-f the same way as any New York LLC's, for $100 all in. The Certificate of Change accepted by the State, or your full $100 back.

I have several LLCs with the same agent company. Is it one filing?

Each LLC needs its own certificate and its own $30 fee. LLC Law §1101(v) sets the fee "For filing a certificate of change pursuant to subdivision (a) of section two hundred eleven-A ... thirty dollars", and one LLC's several changes share one certificate and one fee: "Any one or more such changes may be accomplished by filing a certificate of change" (§211-A(a)). At Remove Registered Agent, the price is one payment for one certificate for one LLC, with nothing recurring. Each LLC is a separate request at the same price.

How to file DOS-1359-f to remove a New York registered agent

My LLC is dissolving. Does that take the registered agent off its record?

The Department of State's Articles of Dissolution form for a domestic LLC, DOS-1366-f (Rev. 03/17), has three statements: "FIRST: The name of the limited liability company is:", "SECOND: The date of filing of the articles of organization is:" and "THIRD: The event giving rise to the filing of the articles of dissolution is:". Its two form pages have no statement about a registered agent, the service of process address or an email. On all 50 dissolved New York LLCs we read on October 27, 2026 that had named a registered agent in some filing, the agent's name and address were still in the record's "Registered Agent Name and Address" section after the dissolution (39 company names, 11 persons). The 50 were sampled at random from the 1,156 such LLCs, with no agent resignation on file, whose dissolution DOS open data lists as filed from September 1 to October 20, 2026. Remove Registered Agent files for LLCs whose New York record is active, or suspended with the reason "Process Addressee Resigned".

Why is my LLC's service of process address in Albany?

When a New York LLC's service of process address is in Albany, its first line usually carries an agent company's name. By our count of New York DOS open data, as updated October 25, 2026, of the 177,906 active domestic LLCs formed from October 23, 2025 to October 22, 2026, 33,268 (18.7%) have their service of process address in the city of Albany. Of those 33,268, 30,533 (91.8%) carry the name of one of the agent companies on our list on the first line of that address. The New York Department of State's own Albany office is at One Commerce Plaza, 99 Washington Avenue, Albany, NY 12231.

Why is my New York LLC's address in Albany? What it means

Does removing the registered agent change my LLC's county?

No. The county and the service of process address are separate entries. The articles of organization state "the county within this state in which the office of the limited liability company is to be located" (LLC Law §203(e)(2)), and form DOS-1359-f changes the county only through its own county statement. A Remove Registered Agent certificate never checks that statement, so the county stays as it was.

Why is my New York LLC's address in Albany? What it means

Does removing the registered agent mean publishing the LLC's notice again?

LLC Law §206(a) says "Where, at any time after completion of the six weekly publications required by this subdivision, there is a change to any of the information contained in the copy or notice as published, no further or amended publication or republication shall be required to be made." The sentence before it covers a change between the first and the sixth publication: the LLC "may complete the remaining publications of the original copy or notice".

Other ways to do it

Can I file the form myself?

Yes. A New York LLC revokes the designation of its registered agent by filing a Certificate of Change under LLC Law §211-A; a domestic LLC uses DOS form DOS-1359-f, and the State filing fee is $30 (LLC Law §1101(v)). The New York Department of State's updates page says "Please submit all filings and requests via email or mail." (read October 26, 2026). Form DOS-1359-f has no notary, oath or perjury line, and its notes say "You are not required to use this form." Doing it yourself means finding the right form, filling in both of its pages and the cover sheet, reading the LLC Law to choose the statements your LLC's record calls for (revoking the registered agent does not move the service of process address, which is a separate statement on the same certificate), having a member, manager or authorized person sign, paying the fee, and sending it. For an owner filing it by hand, it comes to at least 10 hours of work, with everything right the first time; our operator timed it. Most of those hours go to steps a quick estimate leaves out: reading the LLC Law to choose the statements, checking with the agent company, calling the Department of State and waiting for its answer, and checking everything again before mailing. Remove Registered Agent files electronically through its operator's service company account with the Department of State: the certificate goes into the Department's system when it is submitted, dated that day, with nothing to print, mail or scan. Of the 12 Certificates of Change our operator emailed to the Department of State from June 15 to July 1, 2026, 11 were dated the day they were sent or the next business day; a mailed one is dated no earlier than the day the mail reaches the Department. In our operator's experience, one small mistake on the form brings a correction letter and a resubmission. As of October 30, 2026, our operator has filed 100 New York Certificates of Change since January 2026, all accepted by the State: the same filing a New York LLC uses to revoke its registered agent. On each certificate it files, Remove Registered Agent reads the LLC's exact name and the date its articles of organization were filed from the State's record, puts the name on both of the form's pages, fills in the filer block, prepares the statements the record calls for and, where the service of process address is an agent company's, replaces it with one the LLC chooses. We apply LLC Law §211-A, §302 and §301 to your live record: which statements it calls for, and whether the address must be replaced. With Remove Registered Agent, the LLC confirms the details by email and a member, manager or authorized person signs; Remove Registered Agent does the rest, for $100 all in: it prepares the certificate from the LLC's live State record, files it electronically through eCorp under its operator's service company account, makes any correction the State asks for at no charge, and sends the State's filing receipt. The Certificate of Change accepted by the State, or your full $100 back.

Can I file a Certificate of Change online?

Yes, through a service company. How it works

Can I be my own registered agent?

New York's LLC Law §302(b) does not mention owners; it lists who may serve as a registered agent: "The agent must be either: (1) a natural person who is a resident of this state or has a business address in this state; (2) a domestic limited liability company or an authorized foreign limited liability company; or (3) a domestic corporation or a foreign corporation authorized to do business in this state." A registered agent is optional in New York: an LLC "may designate" one (§302(a)). Taking an agent company off a New York LLC's record is one Certificate of Change; Remove Registered Agent prepares and files it.

Can you be your own registered agent in New York? The law

Can I wait for the agent company to resign instead?

A registered agent may resign by its own filing: LLC Law §302(d) says "The registered agent of a limited liability company may resign as such agent", and under §302(e) the designation ends "thirty days after the filing with the department of state of the certificate of resignation." Whether an agent company files a resignation is its own choice, and a resignation leaves the service of process address where it was unless another filing changes it. One Certificate of Change, form DOS-1359-f, can revoke the registered agent and replace the service of process address on the same filing. Remove Registered Agent prepares and files it.
