Remove Registered Agent

Terms of service

Last updated:

1. Agreement to These Terms

These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "Customer") and Sandeep Arneja LLC, a New York limited liability company that operates the Remove Registered Agent service and the website at removeregisteredagent.com ("we," "us," or "our").

You agree to them at three points:

  • Using our site. By using our site, including its record check, you agree to these Terms as they apply to the site.
  • Sending a request. Our request form has a box you must tick before you can send it. Beside the box is this sentence: "I agree to the Terms of Service, Privacy Policy, and Refund Policy. I understand Remove Registered Agent (operated by Sandeep Arneja LLC) is a document filing service, not a law firm, and does not provide legal, tax, or financial advice. I am authorized to make this request on behalf of the LLC, and the information I provide is accurate." By ticking the box and sending the form, you agree to these Terms, our Privacy Policy and our Refund Policy, in the versions dated on their pages that day. We record the words of that sentence, the version date of each of the three, and the time our server received your request. We do not record your IP address.
  • Confirming your request. Before we prepare anything, we email you to confirm what your LLC's State record shows and what to file. That email links the dated version of these Terms. When you reply in writing to confirm your request and state that you accept these Terms, you agree to that version for your request. Signing the certificate we send you, or paying for it, confirms that agreement.

If you do not agree to these Terms, do not use our site or our service.

2. Service Description

Remove Registered Agent, a document filing service for New York LLCs, is operated by Sandeep Arneja LLC.

We prepare one Certificate of Change for your limited liability company, for you to sign, and we file it with the New York Department of State. A domestic LLC's certificate is form DOS-1359-f, filed under Section 211-A of the Limited Liability Company Law. A foreign LLC's certificate is form DOS-1362-f, filed under Section 804-A.

Depending on what your LLC's live State record shows and what you choose, the certificate does one or more of these:

  • revokes the designation of your LLC's registered agent
  • replaces your LLC's service of process address with an address you give us
  • adds, changes or deletes the email address for the State's notices of electronic service of process

In these Terms, your LLC's "service of process address" is the post office address to which the Secretary of State mails a copy of any process against your LLC served on it, and "process" means the papers served to start or carry on a legal action, such as a summons.

The price covers reading your LLC's live State record and confirming with you what to file, preparing the certificate for you to sign, the State filing fee, filing the certificate, checking the live record afterwards, and sending you the State's filing receipt and what changed.

Our standard practice. We read your LLC's live record on the Department of State's public database before we email you, and again on the day we file. We prepare the certificate from that record and from your written answers, and we send you a copy to sign. We file only the certificate you signed, and only after you pay.

Service completion. Our obligation is to make commercially reasonable efforts to prepare and file the certificate as you direct. The Department of State decides whether to file it. We do not guarantee any timeline, outcome or result that depends on the State or on anyone else we do not control. Our guarantee (section 10) does not promise the State's decision; it promises that your request ends with the certificate accepted by the State or the full price back. Our job ends at your LLC's New York State record.

3. What the Certificate Changes, and What It Does Not

Your LLC's State record keeps three entries separately, and the certificate changes each one only through its own statement:

  1. The registered agent. If your record names one, the certificate's revoke statement ends that designation. The form's statement reads "The limited liability company hereby revokes the designation of its registered agent." (DOS-1359-f)
  2. The service of process address. Revoking the registered agent does not move this address. That address "shall continue until the filing of a certificate or other instrument under this chapter directing the mailing to a different post office address" (§301(c)). When the certificate's address statement is used, the address "is changed to read in its entirety as follows" (DOS-1359-f), so the entry you give us replaces the old entry as a whole. That includes its "Name:" line, the line DOS Public Inquiry, the Department of State's entity search, prints above the street, which says whose address it is.
  3. The email for electronic service. The certificate changes it only if you choose to add, change or delete it. The State's public record shows whether electronic service is "Permitted" or "Not Permitted", but not the email address itself.

When the "Name:" line of your LLC's service of process address names a registered agent company (an "agent company"), the certificate we prepare also replaces that address, and we need a new address from you before we can file. When the address sits at a building on our list of buildings that agent companies and mailbox services use, we ask you whether you receive mail there yourself. If you do not, the certificate replaces that address as well, at no extra charge. If you do, and nothing else on the record needs to change, we file nothing and charge nothing unless you ask us to replace the address. When your LLC's record shows nothing to remove, you can still ask us to replace its service of process address, for example after a move (an address update): the certificate then carries the address statement alone, at the same price.

When your record reads "Suspended" with the reason "Process Addressee Resigned", the certificate replaces the service of process address, and we need a new address from you before we can file.

The certificate for your request never changes your LLC's county, and it never names or changes a registered agent. It does not dissolve your LLC, file its biennial statement, or make any other filing.

4. Your Choices: Customer-Directed Services

Everything we do for you is done at your direction and request. You decide:

  • whether to file at all
  • the new service of process address, word for word, including its "Name:" line
  • whether to change, delete or keep the email for electronic service, or to add one
  • who signs the certificate, and in what capacity: Member, Manager or Authorized Person

We tell you what the State's record shows and what each statement on the form does. We never choose any of these for you, and we copy your written answers onto the form as you give them.

We do not independently evaluate whether revoking a registered agent, or changing the service of process address, is legally advisable for your LLC. New York law does not require an LLC to have a registered agent: an LLC "may designate" one (§302(a)). Whether your LLC keeps, removes or later names a registered agent is your decision.

By requesting a filing, you represent that you are legally permitted to make the request, and you accept responsibility for the consequences of that decision.

5. The Record Check on Our Site

Our record check reads your LLC's public record from the New York Department of State and shows what it found and what we would file.

  • The State's record is the authority, not our page. The check shows the State's data as the State returns it at that moment.
  • It is a first reading. We read your LLC's live record again ourselves before we email you, and again on the day we file. What we confirm with you by email governs your request.
  • Our lists are not complete. Our lists of agent companies, and of the buildings they use, are dated and do not include every one. If the check finds nothing to remove but your address belongs to an agent company or a mailbox service, tell us and we will look again.
  • "Nothing to remove" costs nothing. When the record shows nothing to remove, we file nothing and charge nothing unless you ask us to replace the address (an address update, section 3). That result is not a statement that your record is correct or complete.
  • If the State's system is slow or down, you can still send your request, and we check the record by hand.
  • It is information, not advice (section 31).

6. How a Request Works

  1. You tick the box agreeing to these Terms, our Privacy Policy and our Refund Policy, and send the request form on our site (section 1). We have your request. Nothing is filed or paid yet.
  2. We'll reply by email within one business day to confirm your LLC's record and the next steps.
  3. You reply in writing with your choices (section 4) and your acceptance of these Terms (section 1).
  4. We may ask you for an identity check (section 14).
  5. We send you the filled certificate. You sign it and send back every page (section 8).
  6. We send you a payment link, and you pay (section 9).
  7. We file the signed certificate with the Department of State (section 17).
  8. We tell you the State's answer. If the State files the certificate, we send you its filing receipt and what your LLC's live record shows afterwards.
  9. We close your request.

7. Your Authority and Representations

By sending a request, you represent and warrant that:

  • you are a member, manager or authorized person of the LLC, or the LLC has authorized you to make this request
  • the person who signs the certificate is a member, manager or authorized person of the LLC, with authority to sign it for the LLC
  • everything you tell us is true, accurate, complete and current, and you will tell us promptly if anything changes
  • you have the right to use the address and the "Name:" line you give us as the LLC's service of process address, and the person or business named on that "Name:" line has agreed to receive the process the Secretary of State mails there
  • any email address you give for electronic service is one the LLC controls
  • you are not using our service to mislead the State or anyone else, or to keep process from reaching the LLC
  • you will help us confirm your identity and your authority when we ask

You authorize us to:

  • prepare the certificate from the State's record and your written answers
  • file the certificate you signed with the Department of State, naming Sandeep Arneja LLC and our email address as the filer, so that the State sends its answer to us
  • pay the State filing fee from our own account with the Department of State
  • communicate with the Department of State about your filing, including any correction it asks for
  • keep copies of the documents and messages for our records (section 19)

We do not sign for your LLC, whether as an authorized person, as an attorney in fact or in any other way. We do not change a certificate after you sign it. If anything needs to change, we send you a corrected copy to sign again. This authorization does not make us your attorney, and it does not make us your LLC's registered agent.

8. Signing the Certificate and Electronic Signatures

  • You sign it yourself. Sign on paper (print, sign, and scan every page) or electronically with a PDF tool, for example by typing or drawing your signature.
  • Keep it as sent. Keep your printed name and capacity as filled in from your reply, and change nothing else. If anything looks wrong, tell us and we send a corrected copy.
  • Electronic signatures. You agree that a signature you place on the certificate electronically is your signature, made with the intent to sign it, and that it has the same effect as a signature by hand. New York's Electronic Signatures and Records Act gives an electronic signature the same validity and effect as a signature affixed by hand, unless a law provides otherwise (State Technology Law § 304).
  • Electronic documents. You agree to receive these Terms, the certificate, notices and other documents electronically.
  • We file your signature as you gave it. We file the certificate exactly as you signed and returned it. We never apply our own signature to it or replace yours.
  • Our record of what you signed. We keep a digital fingerprint (a SHA-256 hash) of the copy we sent you and of the signed copy you return, with the date and time of your reply.
  • No notary. The domestic form, DOS-1359-f, has no notary line.

9. Price, Payment and the Payment Page

  • One price. Remove Registered Agent files a New York LLC's Certificate of Change for $100 all in, including the $30 State filing fee.
  • One certificate, one LLC. The price is one payment for one certificate for one LLC, with nothing recurring. Each LLC is a separate request at the same price.
  • Address and email changes are included. When your case calls for them, the address change and the email change go on the same certificate at the same price.
  • Not included: the State's optional expedited handling (which we do not offer), a new registered agent, a county change, or anything your agent company charges.
  • When you pay. You pay after you have confirmed your request and signed the certificate, through a payment link we email you. We file only after your payment goes through. If you do not pay, nothing is filed and you owe nothing.
  • The link. A payment link is valid for 30 days. If it expires unpaid, we close your request, and you can ask us for a new link.
  • Who takes your payment. Sandeep Arneja LLC, which also operates LLC Publishers, takes your payment and issues any refund. The payment page, the card checkout, the receipt and any refund email show the name LLC Publishers, and your card statement shows the payment request number (PR-...). Stripe, a payment processor, handles your card or other payment details on that page. We do not keep your card number, and we do not save your card for later charges.
  • No later charges. We never charge you more for a request, except through a new payment link that you choose to pay.
  • Its checkbox. The payment page asks you to agree to LLC Publishers' Terms of Service and Privacy Policy. For your Remove Registered Agent request, these Terms and our Refund Policy apply, as section 38 explains.
  • Questions about a charge. For anything about a charge or your request, write to our email address, not to the LLC Publishers receipt. If a charge looks wrong, please write to us first so we can look at it.

10. Refunds

Our guarantee. Every certificate we file for you carries our guarantee: the Certificate of Change accepted by the State, or your full $100 back. Our Refund Policy sets out how the guarantee works, governs refunds and is part of these Terms. In short:

  • Until we submit your signed certificate to the Department of State, you can ask for the full price back, for any reason.
  • If we stop your request after you pay and before we submit your certificate, we refund the full price without waiting for you to ask.
  • If the State asks for a correction, we make the correction and resubmit the certificate at no charge. If the correction changes the certificate, you sign the corrected copy first.
  • If the State rejects the filing for a reason we can fix with you, we fix it and file it again as a new submission at no extra charge.
  • If the State cannot accept the filing for a reason we cannot fix with you, we refund the full price.
  • If your LLC's record shows a status we do not serve (section 25), or nothing to remove and you ask for no address update (section 3), we file nothing and charge nothing.

Every refund is the full price, including the State filing fee inside it, to the card or other payment method you paid with. LLC Publishers sends the refund email and refund receipt (section 9). Our refunds cover what you paid us. Whether your agent company refunds anything is set by its own terms.

11. Your Cooperation and Replies

Your answers are how your request moves forward. You agree to:

  • reply to our emails promptly
  • give accurate and complete answers in writing
  • read the record, the certificate and the other documents we send you, and tell us promptly of any error
  • keep your email address current, and check your email, including spam folders
  • send documents for your request only to our email address (section 13)

If you stop replying before you pay. If you do not answer one of our emails for 10 business days, we may close your request. Nothing is filed, and nothing is charged. You can write to us to start again.

If you stop replying after you pay. If a step before filing needs your answer, such as a new signature, we hold the filing until you reply. You can still ask for a full refund under our Refund Policy at any point before we file.

If the State asks for something only you can give. If a correction the State asks for needs your answer or signature, we ask you by email. If you do not reply within 30 days, we close your request and refund the full price. If you decide not to make a fix the State asks for, we refund the full price. Our Refund Policy sets out these cases.

We are not liable for any consequence of a delay you cause, or of a filing that cannot be completed because you did not reply.

12. Completion and Timing

Completion. Your request is complete when the Department of State has filed the certificate and we have sent you its filing receipt and what your LLC's live record shows afterwards. If the State cannot accept the filing for a reason we cannot fix with you, your request is complete when we have told you and refunded you under our Refund Policy. Completion concerns the State's record only. Your account with your agent company is governed by its own terms (section 15).

Timing. The Department of State publishes no standard processing time for a Certificate of Change. We make no promise about when the State will file your certificate, and we do not offer the State's optional expedited handling. When the State answers, we write to you. If its answer does not arrive, we follow up with the State.

Our own reply time. We'll reply by email within one business day to confirm your LLC's record and the next steps. That is our reply time to a new request, not the State's processing time, and it is the only time we state.

You remain responsible for your LLC's other legal duties and deadlines, such as its biennial statement to the State.

13. Communication and Notice

  • Email is how we work. Our address is sandeep@removeregisteredagent.com. Our emails come from Sandeep Arneja, our founder.
  • Our phone. You can call us at (631) 813-7738, Monday to Friday, 9 AM to 5 PM Eastern. What you choose for a request, and your acceptance of these Terms, are given in writing, on our request form or by email, never by phone. To confirm your request, we may call or text you at the phone number you gave us, as section 14 explains. By giving us your number, you agree to that call or text.
  • Where to send documents. Send documents for your request, including the signed certificate and any filing receipt, only to our email address.
  • Replies about your request. The payment receipt and any refund email come from LLC Publishers' mailbox. For anything about your request, write to our email address, not to the LLC Publishers receipt.
  • Official notice. Email is official notice between us. We send notices to the email address in your request. A notice is treated as received 24 hours after we send it, whether or not you read it. You send notices to our email address.

14. Identity Checks and Fraud Protection

A Certificate of Change can change your LLC's service of process address, so we take care to confirm who is asking.

  • We may, but are not required to, verify your identity or your authority to act for the LLC.
  • We may ask you for the filing receipt the State issued when it filed your LLC's articles of organization or application for authority. Sending it is optional. If a formation company or an accountant filed for you, the receipt may have gone to them. We compare only the LLC's name and filing date with the State's record.
  • We may call or text you at the phone number you gave us to confirm the request.
  • A filing receipt shows that someone holds a document. It does not show authority to act for the LLC. We rely on your representations in section 7 and on the signature of a member, manager or authorized person.
  • We may refuse a request, ask for more information, or stop before filing if we cannot confirm a request, or if we suspect fraud or unauthorized activity.
  • If we stop your request after you pay and before we submit your certificate, we refund the full price without waiting for you to ask.
  • We are not liable for acting on a request made with false information or without authority, and you are responsible for the harm such a request causes (sections 27 and 28).

15. Your Registered Agent Company

This section is about the agent company, if any, named on your LLC's record when you come to us.

  • The certificate changes the State's record only. Remove Registered Agent files the Certificate of Change and sends the customer the State's filing receipt and what changed on the record. Cancelling or not renewing the agent company's service, and sending it that receipt, stays with the customer.
  • Your contract governs. With the State's filing receipt in hand, the LLC can then cancel or not renew its contract with the agent company, as that contract allows.
  • We do not act for you with your agent company. We do not contact your agent company for you, and we do not cancel your account with it.
  • Billing. Whether the agent company's billing ends depends on its own terms.
  • Acceptance. Whether a company accepts the State's filing receipt and the updated record is between you and that company.
  • No promise. We make no promise about what any agent company will do, accept, charge or refund.

16. The Public Record

  • The certificate and what it changes become part of your LLC's public record with the Department of State.
  • The new service of process address, its "Name:" line included, is public on the Department of State's public inquiry site, and the State's open data keeps the old address on the old filing's row. A certificate does not erase earlier filings.
  • You choose the address and its "Name:" line knowing that they will be public.

17. Filing With the Department of State

  • How we file. We file by submitting your signed certificate electronically to the Department of State, at the State's routine handling, and we pay the State filing fee from our operator's account with the Department. In these Terms, "before we file" means before we submit your signed certificate to the Department of State, the same point our Refund Policy uses.
  • Filer details. The certificate names Sandeep Arneja LLC and our email address as the filer, and the State's filing receipt names Sandeep Arneja LLC.
  • Filing-day check. On the day we file, we read your LLC's live record again. If it has changed since you signed, we stop and tell you before anything is filed.
  • Other filings in progress. If another filing for your LLC is in progress, we may wait for it to finish before we file, so that the two do not cross at the State. We tell you if we wait.
  • The State's answer. The Department of State may file the certificate, ask for a correction, or reject it. When the State writes to us about your filing, we send you its letter. Section 10 says what happens after a correction or a rejection.
  • What we report. We tell you a certificate is filed only when we have the State's filing receipt, and we describe the change only as your LLC's live record shows it.
  • Forms and rules. We prepare the certificate on the State's current form, as we understand its requirements.
  • The State's decisions. We are not liable for the State's processing delays, its rejections or its changing requirements. The State's filing of a certificate does not mean your LLC meets every legal requirement.

18. Later Filings

Each request is for one certificate. A later change to your LLC's record, such as naming a registered agent if you ask for one later, is a separate request. We prepare one only on your written instructions. Before we prepare it, we tell you in writing what it would put on the public record and whether any charge applies.

19. Records We Keep

We keep, in our operator's files: your request, with the record of the box you ticked on our request form (the words beside it, the version date of each policy and the time), our emails and your replies, the State record we read, the unsigned and signed certificates and their SHA-256 hashes, the payment request number, the State's filing receipt and any letter from the State, and the record check we make after filing. We keep them for our business and legal purposes, and we may provide them to the Department of State or to legal authorities when the law requires it. We also keep a dated copy of each version of these Terms. Our Privacy Policy explains what personal information we collect, where it goes and how long we keep it.

20. Changes in Law, Forms and Fees

New York's laws, the State's forms, its fees and its procedures may change. If a change affects your request before we file, we tell you before we file. If it would change what you pay, we ask you first. We are not responsible for requirements that take effect after your request is complete.

21. Data Security

We use reasonable measures to protect your information. You acknowledge that:

  • no transmission or storage of data is completely secure
  • we are not liable for a data breach, unauthorized access or disclosure beyond our reasonable control
  • you accept the risks of sending business information electronically
  • we store and send your information using third-party services, as our Privacy Policy describes
  • our liability for any data incident is limited to the amount you paid us for your request

22. Your Information, Our Site and Its Content

  • Your information. You give us a non-exclusive license to use the information you provide only to provide our service. You represent that putting it on your LLC's public record does not violate anyone's rights or any obligation you have.
  • Our site. Our site, its guides and its record check belong to Sandeep Arneja LLC.
  • Fair use of the record check. Do not overload the record check, query it in bulk, or try to get around its limits or protections. A person, or an assistant or tool acting for one person, checking their own LLC is welcome.
  • Guides. Our guides are general information, current as of the dates they show. Where a guide quotes a company's published terms, it gives the date we read them, and that company's current terms are the ones that apply to you.
  • Company names. Company names on our site identify those companies. Remove Registered Agent is not affiliated with any registered agent company named on our site, and each company's words are its own.
  • Reviews. Reviews shown on our site are each reviewer's own words about their own experience. They are not a promise of any result for your LLC.
  • Links. Links to other sites, including the Department of State's, are for your convenience. We do not control those sites.

23. Time Limit for Claims

TO THE FULLEST EXTENT THE LAW ALLOWS, ANY CLAIM AGAINST US MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ARISES, WHETHER OR NOT YOU KNEW OR SHOULD HAVE KNOWN OF IT. THIS SHORTER PERIOD APPLIES TO EVERY CLAIM, INCLUDING BREACH OF CONTRACT, NEGLIGENCE AND ANY OTHER LEGAL THEORY.

24. Our Relationship With You

We are an independent service provider, and you are our client. We are not:

  • partners, joint venturers or co-owners of your business
  • employees, members, managers or officers of your LLC
  • fiduciaries with any duty that continues after your request is complete
  • responsible for your LLC's legal compliance after your request is complete
  • your attorneys, accountants or business advisors
  • your LLC's registered agent, or an agent company. We do not receive or forward process for your LLC, and we never give our own address as your LLC's service of process address.
  • the Department of State or any other government agency. We are a private company.

25. Scope: New York LLCs and This One Filing

  • Who we serve. Limited liability companies, including professional service limited liability companies, formed in New York or authorized to do business in New York, whose State record shows them as active, or as suspended with the reason "Process Addressee Resigned".
  • Who we do not serve. Corporations, partnerships and other kinds of entity, companies of other states that are not authorized in New York, and records with any other status.
  • What we file. This one Certificate of Change and nothing else. We do not change a county, name or change a registered agent (except as a later, separate request under section 18), dissolve an LLC, file a biennial statement, publish a notice, take any step with a licensing authority for a professional service LLC, or deal with any agent company.
  • Other law. We are not responsible for federal requirements, the laws of other states, or local rules.

26. DISCLAIMER OF WARRANTIES

OUR SITE AND OUR SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT
  • ANY WARRANTY THAT THE STATE WILL FILE THE CERTIFICATE, OR WILL FILE IT BY ANY DATE
  • ANY WARRANTY ABOUT WHAT AN AGENT COMPANY WILL DO, ACCEPT, CHARGE OR REFUND
  • ANY WARRANTY THAT THE RECORD CHECK OR OUR LISTS ARE COMPLETE, CURRENT OR ERROR-FREE
  • ANY WARRANTY THAT OUR SITE OR SERVICE WILL BE UNINTERRUPTED, TIMELY OR ERROR-FREE
  • ANY WARRANTY ABOUT COMPLIANCE WITH LEGAL REQUIREMENTS OR DEADLINES
  • ANY WARRANTY THAT THIRD PARTIES, INCLUDING THE DEPARTMENT OF STATE, WILL ACT AS EXPECTED

27. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING:

  • DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES
  • BUSINESS INTERRUPTION OR LOSS OF BUSINESS
  • LEGAL FEES, FINES, PENALTIES OR SANCTIONS
  • LOSS OF YOUR LLC'S GOOD STANDING
  • DAMAGES ARISING FROM THE ACTIONS, OMISSIONS, CHARGES OR TERMS OF ANY REGISTERED AGENT COMPANY

  • DAMAGES ARISING FROM DELAYS, CORRECTIONS OR REJECTIONS BY THE DEPARTMENT OF STATE
  • DAMAGES ARISING FROM CHANGES IN LAW, FORMS OR FEES

28. INDEMNIFICATION

YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS SANDEEP ARNEJA LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS AND CONTRACTORS FROM ALL CLAIMS, DAMAGES, LOSSES, COSTS AND EXPENSES, INCLUDING REASONABLE ATTORNEYS' FEES, ARISING FROM OR RELATING TO:

  • YOUR VIOLATION OF ANY LAW OR ANY THIRD PARTY'S RIGHTS
  • ANY ACTION WE TOOK ON YOUR AUTHORIZATION OR INSTRUCTIONS

29. Third Parties

Our service relies on third parties, including the Department of State, your agent company, Stripe (the payment processor behind LLC Publishers' payment page), and the email, hosting and other providers named in our Privacy Policy. We are not responsible for their actions, omissions, delays, errors or failures, and we make no promise about how they will act. Your agent company's own contract governs your relationship with it.

30. Force Majeure

We are not liable for any failure or delay caused by circumstances beyond our reasonable control. These include acts of God, natural disasters, war, terrorism, labor disputes, government actions, epidemics and public health emergencies, government-ordered closures, the serious illness, injury or incapacity of our owner or key personnel, outages or changes of the Department of State's filing or public inquiry systems, technical failures, and failures or outages of cloud hosting, internet, telecommunications, email, utilities or power, including those of our third-party providers.

31. No Legal or Tax Advice, and No Government Affiliation

Remove Registered Agent, a document filing service for New York LLCs, is operated by Sandeep Arneja LLC. It is not a law firm: it acts at its client's request and does not provide legal, tax, or financial advice. Information on this site is general information only. Remove Registered Agent is not affiliated with the New York Department of State or any other government agency, and it is not a registered agent. Use of our service is voluntary: an LLC can file its Certificate of Change with the Department of State itself.

It is also not an accounting firm or a tax adviser. The information on our site, in our record check, in our guides and in our emails is general information. It is not advice about your LLC, and it is not a substitute for professional advice.

Whether to keep a registered agent, remove one or name one, and what service of process address to give, are your decisions. The Department of State's own form notes say: "The Department of State recommends that legal documents be prepared under the guidance of an attorney." (DOS-1359-f) For advice about your LLC, talk to a qualified attorney.

32. Cancelling a Request, and Termination

  • You may cancel your request at any time before we file, by email. Before you pay, you owe nothing. After you pay, we refund the full price under our Refund Policy.
  • Once we have submitted your certificate, cancelling no longer applies: the State decides the filing, and our Refund Policy sets what happens after its answer. Any later change to your LLC's record is a new filing and a new request (section 18).
  • We may decline or stop a request at any time before we file, with or without a reason, for example if we cannot confirm it (section 14), if your LLC's record changes, or if it is outside our scope (section 25). If we stop your request after you pay and before we submit your certificate, we refund the full price without waiting for you to ask.
  • Ending a request does not end the sections of these Terms that section 40 says survive.

33. DISPUTE RESOLUTION

ANY DISPUTE ARISING FROM OR RELATING TO THESE TERMS, OUR SITE OR OUR SERVICE WILL BE RESOLVED ONLY BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS COMMERCIAL ARBITRATION RULES, BEFORE A SINGLE ARBITRATOR, IN NEW YORK COUNTY, NEW YORK.

YOU WAIVE ANY RIGHT TO A JURY TRIAL, AND YOU AGREE THAT EVERY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS. CLASS ACTIONS AND CLASS-WIDE ARBITRATIONS ARE NOT PERMITTED.

34. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Every dispute is subject to binding arbitration under section 33. Only for an action to compel arbitration, to enforce an award, or for a claim that the law does not allow to be arbitrated, the state or federal courts located in New York County, New York have exclusive jurisdiction, and you consent to their jurisdiction and venue.

35. Who Operates Remove Registered Agent

Remove Registered Agent, a document filing service for New York LLCs, is operated by Sandeep Arneja LLC. It was founded by Sandeep Arneja, who handles requests. Sandeep Arneja LLC processes every request, and you may receive communications from Sandeep Arneja LLC about yours.

You may see these names on one request. All of them are the same operator:

  • Remove Registered Agent: our site and our emails
  • Sandeep Arneja LLC: the filer on the certificate, and the State's filing receipt
  • LLC Publishers: the payment page, the card checkout, the receipt and any refund email (section 9).

36. Changes to These Terms

We may update these Terms. Each version carries its date at the top. When you send our request form, you agree to the versions dated on the pages that day (section 1). The version linked in our confirmation email, which you accept in your reply, then governs your request, together with our Privacy Policy and Refund Policy in the versions in effect on the day you reply. An updated version applies to requests confirmed after it is posted, and it does not change a request already confirmed unless you agree in writing. We keep a dated copy of every version.

37. Severability

If any part of these Terms is found unenforceable, the rest stays in full force and effect, and the unenforceable part is replaced with an enforceable one that comes closest to our intent.

38. Entire Agreement and Order of Precedence

These Terms, our Privacy Policy and our Refund Policy, in the versions section 36 describes, are the entire agreement between you and us about our site and our service. They replace all earlier agreements, communications and understandings, written or oral. Your written answers to our confirmation email, which set what we file, form part of your request.

The Privacy Policy and the Refund Policy are part of these Terms. If these Terms and one of those policies conflict, these Terms control, except that the Refund Policy controls on refunds.

The payment page. The payment page asks you to agree to LLC Publishers' Terms of Service and Privacy Policy (section 9). Those terms cover the payment step. For your Remove Registered Agent request, including what we do, what we file and when we refund, these Terms and our Refund Policy control, to the extent the law allows.

No reliance. In using our service, you have not relied on any statement, promise or projection, spoken or written, that is not in these Terms or the policies that form part of them. That includes statements about timing, outcomes or what an agent company will do, wherever they were made: on our site, in our guides, in our emails or anywhere else. You have had the chance to read these Terms and those policies. Nothing in this section limits any disclaimer, limit, exclusion or notice we have given, in these Terms or elsewhere.

39. Language

These Terms and our policies are written in English, and our site and service are offered in English. If you read them through a translation tool, the English text governs.

40. Survival

These sections survive the end of a request or of these Terms: Refunds, Records We Keep, Time Limit for Claims, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and any other part that by its nature should survive.
